Letizia Brichetto Arnaboldi Moratti

Ms. Letizia Brichetto Arnaboldi Moratti is Chairman of the Supervisory Board of the Company. She was the first woman to hold the position of President of the RAI (Italian state television and radio) from 1994 until 1996. In 2001 she was appointed Minister for Education, University and Scientific Research and in 2006 was elected Mayoress of Milan, the first woman to hold that office and after two years of international campaigning the city won its bid to hold the Universal Exposition which was held in Milan in 2015. In the 2015 Letizia Brichetto Arnaboldi Moratti founded the E4Impact Foundation, of which she is President in order to train a new generation of entrepreneurs with a strong social impact in Africa. In 2016 she was appointed Chairwoman of UBI Banca’s Management Board and also joined the Board of the Italian Banking Association. Following the adoption by UBI Banca in 2019 of a “one-tier” management and supervision governance system, Letizia Moratti was appointed Chairwoman of the Board of Directors of that bank. She has been a Director of Bracco Spa since 2018. She is a co-founder of the San Patrignano Foundation, and for over 40 years she has been close to this rehabilitation community which over the years has taken in over 26,000 persons with drug addiction problems free of charge. While she has received many honours in her life, in January 2014 she received the honour of Grande Ufficiale dell’Ordine “al merito” (Great Officer of State “with merit”) of the Republic of Italy from Giorgio Napolitano, the President of the Republic of Italy.

Victor Massiah

Dr. Victor Massiah serves as Chief Executive Officer, General Manager at Unione di Banche Italiane Spa. From April 1, 2007 until November 30, 2008, he served as General Manager and Member of the Management Board of the Company. He commenced his career when he joined Andersen Consulting in 1982. He became a consultant in the Italian office of McKinsey & Co in 1989. He then joined Banco Ambrosiano Veneto in January 1997 and was appointed chief of the entire commercial department in 1998 and then Deputy General Manager. Following the merger of Banco Ambrosiano Veneto and Cariplo, he was appointed Chief of the Market Area and Deputy General Manager in January 2001. In August 2001 he was appointed Managing Director of the IntesaBci e.Lab. He joined the Banca Lombarda e Piemontese Group in October 2002 and was appointed to the position of General Manager at the beginning of 2003. Currently he is also a Board Member of Banca Popolare di Bergamo SpA, Banco di Brescia SpA and Centrobanca SpA, among others. He graduated in Business Economics from Universita degli Studi di Roma La Sapienza.

Roberto Nicastro

Mr. Roberto Nicastro is Vice Chairman of the Supervisory Board of the Company. He is also Europe Advisor for Cerberus Capital, one of the main global Private Equity Fund in the banking and financial sector. Since July 2018 he has been Chairman of Officine CST, a company controlled by Cerebus Capital which manages credit granted to the Public Administration. He is also active as an “angel investor” in the Fintech sector. From 2015 until 2017 he was Chairman of four “Good Banks” (Chieti, Ferrara, Etruria, Marche) tasked with rescuing them and selling them on behalf of the Bank of Italy Resolution Fund, within the BRRD framework (the first case of a bail-in in Europe). Previously, he worked for 18 years in the Unicredit Group which he joined in 1997 as Head of Planning until he became General Manager in 2011. At Unicredit he held responsibility for, amongst other things, creating and guiding the Central and Eastern Europe Division and the Retail Division. In the period 2010-2012 he was Chairman of the European Financial Marketing Association and in 2014-2015 he was Senior Vice President of the Italian Banking Association. Before that he worked for McKinsey & Co. and with Salomon Brothers in London.

Elvio Sonnino

Dr. Elvio Sonnino is Senior Deputy General Manager, Chief Operating Officer, Member of the Management Board of the Company. He started his career in 1985 with Andersen Consulting (now Accenture), occupying managerial positions. In 1996 he joins Banco Ambrosiano Veneto, where he was in charge of various units in the Organisation and IT Systems Area. From September 1997 he joins Cassa di Risparmio di Firenze S.p.A. as Head of the Organisation and IT Systems Department. In January 2000 he joins the Banca Lombarda and Piemontese Group, where in December of that same year he becomes General Manager, and then, from June 2005 till October 2007, Deputy Chairman of Lombarda Sistemi e Servizi S.p.A.. From July 2005 he becomes Deputy General Manager of Banca Lombarda Holding S.p.A., contributing to the aggregation with the Banche Popolari Unite Group, aggregation which gave birth to the UBI Banca Group. Within the UBI Banca Group, from the 26th of October 2007 he becomes Chief Executive Officer of UBI Sistemi e Servizi S.c.p.a.. Starting from 1st September 2009 he is appointed Joint General Manager then on 6th April 2010 General Manager of Banco di Brescia S.p.A.. He is Senior Deputy General Manager of UBI Banca since 1st May 2012, holding the position of Chief Operating Officer with responsibility for co-ordinating and supervising the Group Human Resources, Organization, Cost Management, Information Technology and other services centralised in the subsidiary UBI Sistemi e Servizi. Since April 2013 he is a Member of the Management Board of UBI Banca and from 9th February 2015 he is also General Manager of UBI Sistemi e Servizi.

Frederik Geertman

Mr. Frederik Geertman is Deputy General Manager, Chief Commercial Officer of the Company. He started his career at Unilever Philippines in Manila as a production engineer. In 1995 he joined McKinsey & Company in the Amsterdam office, and worked in the Milan office from 1998 onwards. In 2003 he joined Capitalia Gruppo Bancario: he was in charge of the Distribution department and subsequently Head of the Financial Services Division of the Group. In 2007 was nominated head of Global Marketing and Segment Management (for Italy, Poland, Germany and Austria) at UniCredit. In 2010 he was placed in charge of Unicredit’s Retail Network in Italy and, in 2012, became head of the Central Italy Region. In 2015 he was nominated General Manager of Cordusio SIM, the UniCredit Group company dedicated to Wealth Management. Frederik Geertman earned a degree in Chemical Engineering at Delft University of Technology in the Netherlands. He holds an MBA from INSEAD, Fontainebleau (France).

Rossella Leidi

Dr. Rossella Leidi is Deputy General Manager, Chief Wealth and Welfare Officer of the Company. She was Deputy General Manager and Head of Affairs of Unione di Banche Italiane ScpA from May 1, 2012. Prior to this she served as Deputy General Manager, Head of Commercial Macro Area of the Company. She joined Banca Popolare di Bergamo in 1983. After a period at Carvico branch, she moved to personnel department in 1986. She joined Treasury Service – Foreign Exchange Centre of the Finance Area of the Bank in 1990. In September 1993, she became Member of staff on the Chief of Finance’s team. While remaining in the Finance Area, she joined the proprietary asset management service in 1995. In 2000 she joined the Business Area, working in the Co-ordination and Control Service. In 2002 she moved to the Operational Planning and Control Area with the position of Risk Manager for the Banca Popolare di Bergamo - Credito Varesino Group. She was appointed Chief of the Risk Management, ALM and Capital Management Area of the BPU Group in 2003. She was appointed Board Member of Banca Regionale Europea, IW Bank, Banca 24-7 and UBI Assicurazioni. She has a degree in Business Economics from Universita degli Studi di Bergamo and completed postgraduate studies in Capital Markets at Harvard University.

Letizia Bellini Cavalletti

Ms. Letizia Bellini Cavalletti is Independent Member of the Supervisory Board at Unione di Banche Italiane Spa since May 14, 2013. She was awarded a degree from the Catholic University of Milan and then developed her career in major companies in the mass consumer sector (Joh. A. Benckiser, Danone, Galbani and A&D Gruppo Alimentare Dietetico) with growing responsibility in the marketing and communication field and she has acquired experience in the development of innovative projects internationally. In 2010 she took up the position of General Manager of SIIT HFS Liquid, a company that operates in the pharmaceutical chemicals sector in the field of contract development and manufacturing health food supplements (dietary supplements and medical devices). Following the merger of SIIT HFS Liquid into S.I.I.T. Srl, a family company operating in the pharmaceuticals sector since 1951, she has held the position of Business Manager Supervisor of Health Supplements & Medical Device Liquid business since 2016.

PAOLO BOCCARDELLI

Mr. Paolo Boccardelli is Independent Member of the Supervisory Board of the Company. 1995 - Degree in Business Administration - LUISS Guido Carli University. Cum laude. Degree thesis in Management, Competizione basata sul tempo e riflessi sulle operazioni aziendali. Caso Fiat Auto S.p.A. Director of Business Transformation Research Centre - ReBooT Research Center, LUISS Business School Advisor of the Quality and Processes Service (EQUIS). With his considerable experience, he provides support to schools that wish to apply for EQUIS accreditation, by furnishing advice on strategic actions and plans. Member of the EQUIS commission, composed of managerial training experts, as a consultative body for EFMD and a director of EQUIS on the development, implementation and functioning of the system, inclusive of advice on strategic policies, criteria and processes. Member of the Board of Directors of UBI Banca and Chairman of the Remuneration Committee Member of the Governance Committee for the reform of the “Football System” at the Federazione Italiana Giuoco Calcio (FIGC – Italian Football Federation).

PAOLO BORDOGNA

Mr. Paolo Bordogna is Independent Member of the Supervisory Board of the Company. Paolo has more than 30 years of consulting experience in several countries (Europe, South America, and Middle East). During his career, he has become a well-known consultant in Financial Services, having taken an active role in many of the projects (turnaround, acquisitions, mergers …) that have reshaped the Financial Services sector. He started his career at Procter & Gamble. After an MBA at the Wharton School, he has worked for the French and Italian offices of the Boston Consulting Group (1986-1999), where he developed and managed the Italian Financial Services structure, which became one of the largest in the office. Paolo is quite active in the recent restructuring programs for European’s troubled Banks, and expert on risk. More specifically, he has been the advisor to the Bank of Greece and to the Hellenic Financial Stability Fund (HFSF) on the restructuring and recapitalization program for the Greek Banking Sector. He played an active role on some deals related to troubled Italian Banks and he matured a long experience in the restructuring of NPEs. He has also a long experience in Russia, where he has been, for more than 4 years, the advisor to the largest Financial institution of this country.

Alberto Carrara

Mr. Alberto Carrara is Independent Member of the Supervisory Board of the Company. He practices his profession as a freelance from his offices in Bergamo. He has occupied numerous positions on boards of statutory auditors, which have included the following in the financial field: at Banca Popolare di Bergamo as a statutory auditor from 2012 until 2015 and as Chairman until February 2017; at B@nca 24-7 from 2010 until 2012; at UBI Pramerica AI SGR S.p.A.; at AVIVA Assicurazioni Vita S.p.A.; and at UBI Assicurazioni S.p.A. He was an Independent Director and member of the Remuneration Committee and Internal Control Committee of a listed company from 2011 until 2013. He has occupied and occupies positions in associations and more specifically, he was President of the Chartered Accountants Association of Bergamo from 2008 until 2016 and was Vice President of that association from 2017 until 29th December 2018. He is a Board Member of the Chamber of Commerce Bergamo. As an insolvency practitioner he has been engaged as a Curatore Fallimentare, Commissario Giudiziale and Liquidatore Giudiziale and he has also been appointed as an Amministratore Giudiziario. Lastly he was a Member of the Supervisory Board of UBI Banca S.p.A. from 14th December 2017 until 12th April 2019 and a member of the Internal Control and Risk Committee.

FRANCESCA CULASSO

Ms. Francesca Culasso is Independent Member of the Supervisory Board of the Company. As Full Professor of Management Control in the Department of Management at the University of Turin, on 1/10/2018 she became Director of the Department of Management and a Senator of the University of Turin. Her main research interests focus on the contribution of managerial planning and strategic control systems to the subjects of business economics, as operational mechanisms for monitoring and improving performances in private and public sector companies. Recently her studies have also focused on the importance of these systems in family businesses and as a tool for the innovation of value generation models with a view to accountability and corporate sustainability. She also works on digitalisation and management control systems as well as Corporate Governance and Enterprise Risk Management. She is the author of over one hundred scientific papers including monographs, articles and chapters in books of high national and international standing. She is a lecturer at ESCP Europe and holds seminars at other European universities. She is a member of academies of great prestige in the sector, both nationally (Accademia Italiana di Economia Aziendale – AIDEA; Società Italiana dei Docenti di Ragioneria e di Economia Aziendale – SIDREA) and internationally (European Accounting Association – EAA; EuroMed Research Business Institute – EUROMED). She is a member of the editorial committees and an ad hoc reviewer of numerous national and international journals as well as president and member of the scientific committees of conventions and master courses.

Ferruccio Dardanello

Dr. Ferruccio Dardanello is an Independent Member of the Supervisory Board of UNIONE DI BANCHE ITALIANE SOCIETA PER AZIONI since May 12, 2017. Awarded a degree in political science from the Universita degli Studi di Torino, he was President of the Confcommercio (the shopkeepers’ association) of the Province of Cuneo from 1984 until 2017 and has been a board member of the National Confcommercio since 1986. He was a Councillor of the Region of Piedmont from 1988 until 1993. He has been President of the Chambers of Commerce, Industry, Crafts and Agriculture of Cuneo since 1993 and Sole Director of EUROCIN Geie “Le Alpi del Mare/Les Alpes de la Mer” (the first European Group of economic interest formed in Europe between transborder Chambers of Commerce) since 1994. He has filled the role of president/vice president of QUAS (Cassa sanitaria integrativa dei quadri del terziario di mercato – supplementary health insurance fund for middle management in the market services sector). He has been President of the Piedmont Unioncamere (Union of Italian Chambers of Commerce) since November 2008 and has been the national President of Unioncamere from 2009 until 2015; he is currently a member of the Executive Committee. He was a member of the Board of Directors of Banca Regionale Europea from 2010 until 2016. He was elected President of Agroqualità in 2016.

Pietro Gussalli Beretta

Mr. Pietro Gussalli Beretta is Independent Member of the Supervisory Board of the Company. He served as Independent Member of the Supervisory Board of Unione di Banche Italiane ScpA between April 1, 2007 and April 20, 2013. He obtained a degree in Economics and commenced work in the family industrial group in the fields of finance, planning and control. He currently occupies the following positions: Deputy Chairman and Chief Executive Officer of Beretta Holding SpA; Chief Executive Officer of Benelli Armi SpA; Deputy Chairman of the Beretta U.S.A. Corp.; Chairman of the Benelli U.S.A. Corp.; Chairman of Humbert CTTS S.a.S.; Chairman of Beretta-Benelli Iberica SA. He occupied the position of Chairman of the UBI Leasing, formerly SBS Leasing, from 1999 until 2007. From 2005 until 2007, he was a Board Member of Banca Lombarda e Piemontese SpA, formed from the merger of Credito Agrario Bresciano SpA and Banca San Paolo di Brescia SpA.

ALESSANDRO MASETTI ZANNINI

Mr. Alessandro Masetti Zannini is Independent Member of the Supervisory Board of the Company. His work is in the field of tax and general corporate advisory services, with a particular focus on the health and property sectors and no-profit organisations. He has acquired experience in the field of assisting and representing taxpayers before Tax Tribunals and at the Revenue Agency. Recently this has concerned applications on “Patent Box” issues. He holds and has held the position of statutory auditor and director in various companies and organisations of major standing both in Brescia and elsewhere. Examples of the aforementioned entities include the following: Fondazione Poliambulanza (Director), Fondazione Teresa Camplani (Chairman of the Board of Directors), Banco di Brescia San Paolo CAB (Statutory Auditor), Editoriale Bresciana S.p.a. SIMONA PEZZOLO DE ROSSI

Ms. Simona Pezzolo De Rossi is Independent Member of the Supervisory Board of the Company. She practices as a Dottore Commercialista and Revisore Contabile (Chartered Accountant and Auditor) with an office in Brescia. She has been a member of the Board of Directors of UBI Factor S.p.A. a company with a sole shareholder. In addition to being a Member of the Board of Directors and a Member of the Management Control Committee of UBI Banca, today she occupies positions as a Statutory Auditor in other companies (Linea Gestione S.r.l., with sole shareholder, and Sapes S.p.A.), associations and educational institutions (these include the religious foundation Alma Tovini Domus di Brescia and E.B.I.S., Ente Bresciano per l'Istruzione Superiore, an institute of higher education).

MONICA REGAZZI

Ms. Monica Regazzi is Independent Member of the Supervisory Board of the Company. After graduating with honours in Corporate Economics at the Bocconi University and acquiring initial experience working for JP Morgan, she began her career at BCG in 2000 and was the first woman in Italy to become a partner in 2008. Specialised in the financial services sector, she worked for major Italian and International Banking Groups. She left BCG in 2015 to launch a business venture. She founded Homepal with some friends, a marketplace for the sale, purchase and rental of real estate properties with the aim of digitalising the property market. In 2009 she was nominated “Young Global Leader” of the World Economic Forum community.

Silvia Fidanza

Ms. Silvia Fidanza is Member of the Supervisory Board of the Company. Silvia Fidanza graduated in Corporate Economics from the Bocconi University of Milan and she completed her studies at the Asian Institute of Management of Manila. She worked as an auditor at the Milan offices of the auditing firm Arthur Andersen Spa from 1998 until 2000. Having acquired experience in auditing, she commenced work in her family’s firm Condor Trade Srl, a footwear manufacturer, where she works in the general management of the Group with particular attention paid to finance, management and control both for the Italian company and its various foreign subsidiaries. She occupied the position of Member of the Supervisory Board of UBI Banca Scpa from 2010 until 2013, where she was a Member of the Related Parties and Connected Persons Committee and the Accounts Committee. She occupied the position of Member of the Management Board of UBI Banca from 2013 until 2019.

Osvaldo Ranica

Mr. Osvaldo Ranica is Member of the Supervisory Board of the Company. Taken in 1974 at the Banca Popolare di Bergamo, he held various positions within the Bank gaining various experiences as Branch Manager, Area Manager in the field of Trust and Development, later, Director of Corporate Market. He appointed Deputy Managing Director in 2003 and Head of Credit, in 2008 Joint General and Secretary of the Board of Directors, is from 2013 General Manager of Banca Popolare di Bergamo S.p.A. He was a Director of several companies in the UBI Group and currently serves as Vice President of UBI Leasing S.p.A., Director of UBI Banca Varese Onlus Foundation and President of the Regional Commission ABI Lombardy.
